Terms and Conditions

THE MACHINING CENTER’S STANDARD MANUFACTURING TERMS

By accepting a quote for the manufacturing of a part, the customer (“Purchaser”) agrees to these terms with The Machining Center (“TMC”).

These terms apply unless both parties have agreed to different custom manufacturing terms.

A. Shipment Delivery Estimates

  • All quotes include an estimated shipping/delivery date based on current information.
  • This estimated date is only a guide and is not guaranteed. TMC will notify the Purchaser of any expected delays as soon as possible.
  • Delays may occur due to factors outside TMC’s control (such as supplier delays or changes in working conditions). If a delay occurs for reasons TMC is not responsible for, the estimated shipping date will be adjusted. TMC is not liable for such delays.

B. Risk of Loss and Delivery

  • Unless otherwise stated in the quote or purchase order, the Purchaser is responsible for picking up and shipping the parts (this is equivalent to “ex-works” terms).
  • If the Purchaser wants TMC to handle delivery, they must contact TMC to arrange this.
  • At the Purchaser’s request, TMC can choose the delivery method and packaging based on what is reasonable and compliant with applicable regulations.
  • Any additional costs (such as insurance, shipping, duties, or taxes) will be paid by the Purchaser unless otherwise agreed in writing.

C. Quality Issues and Returns

  • TMC takes reasonable steps to ensure that all parts meet the agreed specifications.
  • If the Purchaser believes a part does not meet the agreed specifications, they should contact TMC as soon as possible after receiving the part.
  • If the part is found to be non-conforming due to a manufacturing error, TMC will, at its discretion:
    1. Replace the part at no additional cost, or
    2. Refund the purchase price and arrange for the return of the part at TMC’s expense.
  • No returns will be accepted for parts manufactured to the Purchaser’s own specifications unless a material defect is present.
  • TMC is not responsible for issues reported long after delivery where the problem cannot reasonably be traced back to the manufacturing process.

D. Payment Terms and Ownership

  • Payment is due according to the terms specified in the quote or invoice.
  • Until full payment is received, TMC retains ownership of all manufactured parts, even if they have been delivered to or are in the possession of the Purchaser.
  • If payment is not received within the agreed terms, TMC reserves the right to:
    1. Suspend future work or shipments, and/or
    2. Reclaim or remove any parts that have not been paid for, where legally permitted.
  • Any costs incurred by TMC in recovering unpaid parts or pursuing payment (including legal fees, collection costs, or restocking fees) may be charged to the Purchaser.

E. Design and Engineering Responsibility

  • If TMC provides engineering or design services, the Purchaser is responsible for reviewing and approving all drawings, models, or specifications prior to production.
  • TMC is not liable for any defects, failures, or delays resulting from errors in Purchaser-supplied drawings, models, or specifications, or from Purchaser-approved designs.
  • Design assistance or advice provided by TMC is based on information provided by the Purchaser and is offered as a courtesy. Final responsibility for the design rests with the Purchaser unless otherwise agreed in writing.

F. Tooling, Fixtures, and Materials

  • Unless specifically stated in writing, any custom tooling, jigs, or fixtures created by TMC remain the property of TMC, even if the Purchaser is charged for their development.
  • Any materials or components supplied by the Purchaser must meet agreed specifications and arrive in a timely manner. TMC is not liable for delays or defects resulting from defective or late-supplied materials.
